These Terms of Service (“Terms”) govern access to and use of abafie.com (the “Platform”), operated by Abafie (“Abafie,” “we,” “us,” or “our”).
By accessing or using the Platform, you confirm that you have read, understood, and agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.
1. DEFINITIONS

Platform: The website, mobile interfaces, and related services at abafie.com

User: Any individual or entity accessing or using the Platform

Guest: A User searching for or booking accommodation

Property Provider: Any hotel, resort, villa owner, apartment owner, guesthouse, lodge, or similar accommodation provider

Agent: An independent contractor authorized to onboard or manage property listings
-
Listing: Any accommodation information published on the Platform
-
Booking: A reservation request or confirmed reservation made through the Platform
-
Content: Text, images, data, and other materials displayed on the Platform
2. PLATFORM ROLE (MARKETPLACE DISCLOSURE)
Abafie operates solely as a digital marketplace.
Abafie:

Does not own, lease, manage, operate, or control any listed property
-
Is not a hotel operator, travel agency, tour operator, or property manager
-
Does not provide accommodation services
All Bookings create a direct contractual relationship between the Guest and the Property Provider. Abafie is not a party to that contract.
3. ELIGIBILITY & USE
You represent and warrant that you:

Are at least 18 years old
-
Have legal capacity to enter binding contracts
-
Will provide accurate, current, and complete information
Abafie may refuse access or service at its sole discretion.
4. USER ACCOUNTS & SECURITY
Where account creation is required, you agree to:

Maintain accurate account information

Keep login credentials confidential
-
Accept responsibility for all activity under your account
Abafie is not responsible for losses arising from unauthorized account use.
5. PROPERTY LISTINGS & CONTENT RESPONSIBILITY
Property Providers and Agents are solely responsible for:

Listing accuracy and completeness
-
Pricing, availability, amenities, images, and house rules
-
Compliance with applicable laws and regulations
Abafie does not independently verify every Listing and makes no guarantees regarding accuracy or suitability.
6. BOOKINGS, PAYMENTS & FEES
Bookings may be completed via:

Online payment
-
Pay-on-arrival (where enabled)
-
Deposit or part-payment (where applicable)
Abafie may earn a commission or service fee, disclosed before confirmation.
Payments are processed by third-party payment processors. Abafie does not store full card or mobile money credentials.
7. CANCELLATIONS, NO-SHOWS & REFUNDS

Cancellation and refund policies are determined by Property Providers

Policies are displayed before Booking confirmation
-
Guests are responsible for reviewing policies before booking
Abafie may facilitate communication or mediation, but does not guarantee refunds.
8. AGENTS (INDEPENDENT CONTRACTORS)
Agents are independent contractors, not employees, partners, or representatives of Abafie.
Agents:

Earn commissions per completed stay (subject to payout rules)

Must provide truthful, non-misleading information
-
May not manipulate pricing, availability, or policies
Abafie may suspend or terminate Agent access for misconduct.
9. PROHIBITED CONDUCT
You must not:

Engage in fraud, misrepresentation, or deception
-
Manipulate pricing, availability, or reviews
-
Circumvent Platform fees or systems
-
Post unlawful, abusive, or misleading Content
-
Interfere with Platform security or operations
Violations may result in suspension or termination.
10. SUSPENSION & TERMINATION
Abafie may suspend or terminate access with or without notice if:

These Terms are violated
-
Fraud or abuse is suspected
-
Required by law or regulation
Termination does not affect accrued rights or obligations.
11. INTELLECTUAL PROPERTY
All Platform Content (excluding user-submitted content) is owned by or licensed to Abafie and protected by intellectual property laws.
No Content may be copied, reproduced, distributed, or exploited without prior written consent.
12. DISCLAIMER OF WARRANTIES
The Platform is provided “AS IS” and “AS AVAILABLE.”
To the maximum extent permitted by law, Abafie disclaims all warranties, including:

Accuracy or completeness of Listings

Availability or suitability of accommodation
-
Quality, safety, legality, or condition of properties
Use of the Platform is at your own risk.
13. LIMITATION OF LIABILITY
To the fullest extent permitted by law:

Abafie is not liable for indirect, incidental, consequential, or punitive damages

Abafie is not liable for acts or omissions of Property Providers, Agents, or Guests
Abafie’s total liability shall not exceed the fees actually paid to Abafie by the User in the 12 months preceding the claim.
14. INDEMNIFICATION
You agree to indemnify and hold harmless Abafie from any claims, losses, damages, liabilities, and expenses arising from:

Your use of the Platform
-
Your Listings, Bookings, or Content
-
Your breach of these Terms or applicable law
15. MEDIATION & ARBITRATION (DISPUTE RESOLUTION)
15.1 Mediation (First Step)
Parties agree to attempt good-faith mediation before initiating court proceedings.15.2 Arbitration (Optional by Election)
Where mediation fails, disputes may be resolved by binding arbitration in Ghana, under applicable arbitration rules, unless prohibited by law.
Nothing prevents Abafie from seeking injunctive relief for intellectual property or fraud.
16. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of the Republic of Ghana.
Subject to arbitration provisions, courts in Ghana shall have exclusive jurisdiction.
17. INTERNATIONAL USERS
Users accessing the Platform from outside Ghana do so at their own initiative and are responsible for compliance with local laws.
Abafie makes no representation that the Platform is appropriate or lawful in all jurisdictions.
18. FORCE MAJEURE
Abafie shall not be liable for failure or delay due to events beyond reasonable control, including natural disasters, government actions, strikes, or system outages.
19. SEVERABILITY
If any provision is held unenforceable, the remaining provisions remain in full force.
20. ENTIRE AGREEMENT
These Terms constitute the entire agreement between you and Abafie regarding Platform use and supersede all prior agreements.
21. CHANGES TO TERMS
Abafie may modify these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.
